Terms and conditions governing the use of Terrabox.ai sovereign AI infrastructure services.

Important: These terms govern your use of our sovereign AI infrastructure services. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using Terrabox.ai services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

Terrabox.ai reserves the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

2. Service Description

Terrabox.ai provides sovereign AI infrastructure services, including:

  • GPU Orchestration: Multi-Instance GPU (MIG) isolation on NVIDIA Blackwell B300 hardware
  • Confidential Computing: Trusted Execution Environments (TEE) with hardware-level isolation
  • Agent Shield Layer: Security controls for autonomous AI agents
  • Compliance Automation: ISM-1486, APRA CPS 234, and FedRAMP logging

Services are provided "as is" and subject to the technical limitations and capabilities of the underlying NVIDIA hardware.

3. Eligibility and Account Security

3.1 Eligibility

Our Services are intended for:

  • Businesses registered in Australia or with legitimate Australian operations
  • Australian government agencies and departments
  • Organizations with legitimate sovereign AI infrastructure needs

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access

4. Acceptable Use Policy

4.1 Permitted Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. Permitted use includes:

  • Deploying AI workloads for legitimate business purposes
  • Running financial trading algorithms within regulatory compliance
  • Processing government data with appropriate clearance
  • Developing and testing autonomous AI agents with proper guardrails

4.2 Prohibited Use

You agree NOT to:

  • Use our Services for any illegal purpose or to violate any laws
  • Attempt to bypass security measures, TEE isolation, or access other tenants' data
  • Deploy malware, ransomware, or malicious code
  • Engage in cryptocurrency mining (we are NOT a crypto platform)
  • Violate APRA CPS 234, ISM-1486, or other regulatory requirements
  • Compromise the security or integrity of our infrastructure

5. Data and Content

5.1 Data Ownership

You retain exclusive ownership of all data uploaded to our Services. Our tenant-isolated encryption architecture ensures:

  • Only you have access to your encryption keys
  • No master keys exist that can access your data
  • Data remains isolated within your designated TEE region

5.2 Data Residency

Terrabox.ai is a sovereign Australian cloud provider:

  • All data is stored in Sydney, Australia
  • Data never leaves Australian shores without explicit consent
  • We comply with Australian data sovereignty requirements

5.3 Content Responsibility

You are solely responsible for all content, code, and data you deploy on our Services, including ensuring compliance with applicable laws and regulations.

6. Compliance and Regulatory Obligations

6.1 Customer Compliance

You agree to comply with all applicable laws and regulations, including:

  • APRA CPS 234: Banking sector security standards
  • ISM-1486: Australian government security controls
  • Privacy Act 1988: Australian privacy legislation
  • Notifiable Data Breaches (NDB) scheme: Breach notification requirements

6.2 Automated Compliance Logging

Our platform automatically logs security-relevant events for compliance purposes. By using our Services, you consent to:

  • Collection of ISM-1486 and APRA CPS 234 relevant logs
  • SIEM integration for automated incident reporting
  • Immutable WORM storage of audit trails

7. Service Level and Availability

7.1 Service Availability

We strive to provide high availability but do not guarantee uninterrupted service. Factors affecting availability include:

  • Scheduled maintenance for hardware and software updates
  • NVIDIA DGX B300 hardware maintenance
  • Security patching and compliance updates
  • Force majeure events beyond our control

7.2 Hardware Limitations

Services are subject to the physical limitations of NVIDIA Blackwell B300 hardware, including:

  • GPU memory and compute capacity
  • NVLink bandwidth constraints
  • MIG partition limits (maximum 7 tenants per GPU)

8. Intellectual Property

8.1 Terrabox.ai Property

All intellectual property in our Services, including software, algorithms, and documentation, remains the exclusive property of Terrabox.ai.

8.2 NVIDIA Technologies

Our Services utilize NVIDIA technologies under license. You acknowledge that:

  • NVIDIA Blackwell, NVLink, MIG, and BlueField are NVIDIA trademarks
  • NVIDIA Confidential Computing is subject to NVIDIA licensing terms
  • NRAS (NVIDIA Remote Attestation Service) is an NVIDIA proprietary technology

8.3 Your Property

You retain all intellectual property rights in your data, models, and applications deployed on our Services.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW

Terrabox.ai shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount you paid for Services in the preceding 12 months

9.2 No Warranties

Services are provided "AS IS" without warranties of any kind, whether express or implied, including but not limited to:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

10. Indemnification

You agree to indemnify and hold Terrabox.ai harmless from:

  • Any claims arising from your use of our Services
  • Violation of these Terms or applicable laws
  • Infringement of third-party rights
  • Non-compliance with APRA, ISM, or other regulations

11. Termination

11.1 Termination by You

You may terminate your account at any time by providing written notice to ceo@terrabox.ai.

11.2 Termination by Terrabox.ai

We may suspend or terminate your access immediately if:

  • You violate these Terms
  • You engage in prohibited activities (Section 4.2)
  • Your use poses security or compliance risks
  • Required by law or regulatory authorities

11.3 Data Retention

Upon termination, we will securely erase your data within 30 days, except where retention is required by law (e.g., APRA CPS 234 requires 7-year retention of certain records).

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of NSW, Australia.

12.2 Arbitration

Except where prohibited by law, disputes shall be resolved through binding arbitration in accordance with Australian arbitration rules.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Terrabox.ai regarding our Services.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

13.3 Waiver

Failure to enforce any provision does not constitute a waiver of such provision or any other provision.

13.4 Assignment

You may not assign these Terms without our written consent. Terrabox.ai may assign these Terms freely.
